These Terms and Conditions of Use (“Terms”) are a binding agreement between you and Stonebridge Strategic Inc. (“Stonebridge Strategic,” “we,” “us,” or “our”). You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to use the Site:

• To impersonate Stonebridge Strategic, an employee, another user, or any other person or entity;

All User Contributions must comply with the Content Standards below. Any User Contribution will be considered non-confidential and non-proprietary. By providing a User Contribution, you grant Stonebridge Strategic and our service providers a worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, perform, display, distribute, and otherwise disclose the material for any purpose.

You represent and warrant that:

• You own or control all rights in and to your User Contributions and have the right to grant the license above; and
   
• Your User Contributions do and will comply with these Terms.
   

You understand that you are responsible for any User Contributions you submit, and not Stonebridge Strategic, and you have full responsibility for such content, including legality, reliability, accuracy, and appropriateness. We are not responsible or liable to any third party for the content or accuracy of your User Contributions.

We may:

• Remove or refuse to post any User Contributions for any or no reason;
   
• Take any action with respect to any User Contribution we deem necessary or appropriate, including if we believe it violates these Terms or any third-party rights, threatens the safety of users or the public, or could create liability;
   
• Disclose your identity or information to any third party who claims that material posted by you violates their rights;
   
• Refer matters to law enforcement; and
   
• Terminate or suspend your access to all or part of the Site for any or no reason, including any violation of these Terms.
   

We do not undertake to review all material before it is posted and cannot ensure prompt removal of objectionable material after it has been posted.

User Contributions and use of Interactive Services must comply with all applicable laws and must not:

• Contain defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, or inflammatory material;
   
• Promote sexually explicit content, violence, or illegal activity;
   
• Infringe any intellectual property or other rights of any person;
   
• Violate others’ privacy or publicity rights;
   
• Be deceptive or likely to mislead;
   
• Cause needless anxiety or be likely to upset, embarrass, or annoy others;
   
• Impersonate any person or misrepresent your identity or affiliation; or
   
• Involve commercial activities or sales (contests, sweepstakes, barter, advertising) without our prior written consent.

All matters relating to the Site and these Terms, and any dispute or claim arising therefrom, shall be governed by and construed in accordance with the internal laws of the State of Wyoming, without giving effect to any choice or conflict of law provision or rule. Venue; Forum Selection. Any legal suit, action, or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the state or federal courts located in [Laramie County, Wyoming]; provided, we retain the right to bring suit in your country of residence or any other relevant jurisdiction.

If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

These Terms and our Privacy Policy constitute the sole and entire agreement between you and Stonebridge Strategic regarding the Site and supersede all prior and contemporaneous understandings and agreements, whether written or oral.
